Flexible ownership incentives for key employees

The benefits of moving a business to an employee ownership scheme has been widely publicised and boast of many characteristics that encourage good corporate governance. These benefits have been highlighted in the first stages of The Ownership Effect inquiry, which aims to glean new evidence on the performance of employee-owned businesses from industry leaders, and some key challenges were brought to light, none more so than supporting employees through the process. A key theme recurring throughout many of the inquiry hearings was the challenges for the senior management teams in embracing the changes that come hand-in-hand with adopting an employee ownership model. While empowering the workforce to have a greater voice can only be a good idea, it can strike fear into some management teams, particularly if they have been used to making decisions in a more autocratic way. Therefore, it is essential that businesses thinking about employee ownership options secure management team buy-in from the start. A key element to bear in mind is that employee-owned businesses will still need a strong and effective management team to guide decision-making. Appointing an employee director to the management board can help represent the voice of the masses while ensuring decisions are still made in a timely and effective way. Senior managers, largely those just below board level are often used to getting on with the job at hand, and the move to employee ownership can make them more accountable to stakeholder groups, mainly the wider employee network.

Six social enterprise essentials: Why only common ownership can create system change

How Common Is Employee Ownership? This approach motivates members of an organization to elevate their performance because they will personally benefit when the organization thrives. One way to provide a stake in the outcome is through bonus incentives. Another is what is called equity sharing, where employees actually own a piece of the company. The concept of employee ownership is not new. Today, proponents of employee ownership believe that the model helps align employee interests with those of the employer, and that that alignment promotes business growth. In response to increased interest in and implementation of employee ownership scenarios, the federal government has written laws to address how they are handled with regard to taxes. The additional clarity that these regulations have provided has allowed the idea of employee ownership to proliferate, and various methods and plans have been developed both for setting up and maintaining this type of business model.

Yet it has caused great consternation, because the employee ownership community has lost a leader. More importantly, however, the sale of New Belgium represents a key weakness of our community—we do not have a capital ecosystem that can keep ESOPs employee owned. If being an employee-owner means you are the caretaker of a community asset, with a responsibility to ensure the business thrives during your tenure and the business will be there for future generations, then the sale of any employee-owned company, and the risk that the focus on workers and community will be lost, is a disappointment. It must be said that New Belgium did employee ownership right: from employee engagement and environmental sustainability to building job quality into their business strategy and fostering employee ownership in the craft brewing sector. Given this, it is not fair to characterize the sale as a failure on the part of the business. In this sense, the decision to sell was an attempt to ensure intergenerational survival.

Employee ownership has attracted growing attention for its potential to improve economic outcomes for companies, workers, and the economy in general, and help reduce inequality. Over studies across many countries indicate that employee ownership is generally linked to better productivity, pay, job stability, and firm survival—though the effects are dispersed and causation is difficult to firmly establish. Free-riding often appears to be overcome by worker co-monitoring and reciprocity. Financial risk is an important concern but is generally minimized by higher pay and job stability among employee owners.
